Welcome to Matthews Education Consulting. These Terms and Conditions (“Terms”) govern the provision of all consultancy, training, and related services provided by Matthews Education Consulting (“we”, “us”, or “our”) to clients (“you” or “your”). By engaging our services, you agree to comply with and be bound by the following Terms.

1) Services Provided

Matthews Education Consulting offers educational consultancy, training, and professional development services across further education, adult learning, and organisational development. Specific deliverables, timelines, and outcomes will be agreed upon in writing prior to the commencement of any project or engagement.

2) Bookings and Engagements

All training or consultancy bookings must be confirmed in writing via email or signed agreement.

Proposals and quotes are valid for 30 days unless otherwise stated.

Once confirmed, a contract is formed, and these Terms shall apply.

3) Fees and Payment

All fees are agreed in advance and outlined in the service agreement or invoice.

Invoices are payable within 14 days of the invoice date, unless otherwise agreed in writing.

We reserve the right to charge interest on overdue payments at 2% per month or part thereof.

4) Cancellations and Rescheduling

Cancellations made more than 10 working days before a scheduled session will not incur a charge.

Cancellations made 5–10 working days before the session will be charged at 50% of the agreed fee.

Cancellations made fewer than 5 working days prior to delivery will be charged in full.

Requests to reschedule will be considered on a case-by-case basis and may incur a fee.

5) Client Responsibilities

You agree to provide accurate information, access to relevant personnel, and necessary resources in a timely manner to facilitate effective delivery.

You are responsible for the conduct of participants during training or consultancy sessions.

We expect all interactions to be respectful and professional.

6) Intellectual Property

All materials, resources, and content delivered or shared by Matthews Education Consulting remain the intellectual property of Matthews Education Consulting unless explicitly transferred in writing.

You may not reproduce, distribute, or use any materials for commercial purposes without prior written consent.

7) Confidentiality

Both parties agree to maintain confidentiality regarding all sensitive information obtained during the course of the engagement.

This obligation continues after the conclusion of the engagement unless required by law to disclose.

8) Data Protection

Matthews Education Consulting is committed to protecting your personal data and handling it responsibly and in compliance with relevant data protection laws.

9) Limitation of Liability

Matthews Education Consulting will deliver services with reasonable skill and care but does not guarantee specific outcomes.

We are not liable for any indirect or consequential losses, including loss of income, profits, or opportunities, arising from the use of our services.

Our total liability for any claim shall not exceed the fees paid for the service in question.

10) Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to events beyond our reasonable control, including but not limited to natural disasters, strikes, acts of government, or failure of suppliers or subcontractors.

11) Amendments

We reserve the right to amend these Terms at any time. The most current version will always be available on our website or upon request.

12) Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
